These Terms of Service (“Terms”) govern your access to and use of AgentAds, operated by Vantar Group LLC, a Wyoming limited liability company (“Company,” “we,” “us,” or “our”). By accessing or using AgentAds, you agree to be bound by these Terms.

AgentAds provides a two-sided advertising marketplace connecting:

• Publishers: Developers and companies that integrate our SDK to display contextual ads in AI-powered applications.
• Advertisers: Businesses that purchase ad placements to reach users of AI applications.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using AgentAds, you represent that you meet these requirements. If you are using AgentAds on behalf of a company or organization, you represent that you have authority to bind that entity.

4. Publisher Terms

4.1 Revenue Share

Publishers receive 70% of net ad revenue generated through their integration. Net revenue is calculated after payment processing fees. Payments are made monthly via Stripe with a minimum payout threshold of $50.

4.2 Acceptable Use

Publishers may not use AgentAds in applications that contain illegal content, hate speech, adult content, or content that violates any applicable law. We reserve the right to terminate publisher accounts for policy violations.

4.3 SDK Integration

Publishers must use our official SDK and may not reverse engineer, modify, or misuse the ad auction system. Click fraud or artificial inflation of metrics is strictly prohibited and will result in immediate account termination and forfeiture of pending earnings.

5. Advertiser Terms

5.1 Billing

Advertisers prepay for ad credits via Stripe. Credits are non-refundable once campaigns have begun serving. Unused credits may be refunded at our discretion for accounts in good standing.

5.2 Ad Content

Advertisers are responsible for ensuring their ad content complies with all applicable laws and our content policies. We reserve the right to reject or remove any ad creative at our discretion. Prohibited content includes: deceptive claims, illegal products or services, adult content, and malware.

5.3 Campaign Performance

We do not guarantee specific impressions, clicks, or conversion outcomes. Ad delivery depends on auction dynamics and publisher availability.

6. Intellectual Property

AgentAds and all associated content, trademarks, and technology are the property of Vantar Group LLC. Our SDK is provided under a limited license for integration purposes only. You may not copy, modify, or distribute our platform or SDK outside of its intended use.

7. Limitation of Liability

To the maximum extent permitted by law, Vantar Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of AgentAds. Our total liability to you shall not exceed the amount you paid to us in the twelve months preceding the claim.

8. Disclaimers

AgentAds is provided “as is” without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that any particular revenue levels will be achieved.

9. Termination

Either party may terminate the relationship at any time. We may suspend or terminate accounts immediately for violations of these Terms. Upon termination, publishers will receive any earned and unpaid amounts meeting the minimum threshold within 30 days.

10. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Wyoming.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice in the dashboard. Continued use of AgentAds after changes constitutes acceptance of the new Terms.
